Terms of Service

This is the English translation of the Terms of Service for reference purposes only. In case of any discrepancy between this English version and the Japanese original, the Japanese version shall prevail.

Note: The Service is offered exclusively to care facilities in Japan. Customer support and legally binding notices relating to the Service are provided only in Japanese. This English translation is made available solely for the purpose of Zoom App Marketplace review and for reference by non-Japanese reviewers.

These Terms of Service (these "Terms") set forth the conditions under which TGLAB Co., Ltd. (the "Company", "we", "our", or "us") provides the online live streaming service "LabStream" (the "Service"). Please read these Terms carefully before using the Service.

Article 1 (Scope)

These Terms apply to all relationships between the Company and any person or entity using the Service (the "User") in connection with the use of the Service.

Article 2 (Description of the Service)

The Service provides interactive live streaming of performances by artists to nursing care facilities, day service centers, and similar facilities (each, a "Facility"). The Service includes, without limitation, the following:

Article 3 (Registration)

  1. A Facility wishing to use the Service shall apply for registration in the manner prescribed by the Company.
  2. The Company may, in its sole discretion, decline any registration application, including but not limited to cases where:
    • The applicant has submitted false information;
    • The applicant has previously breached these Terms; or
    • The Company otherwise deems the registration inappropriate.

Article 4 (Access URLs and Passwords)

  1. Users are responsible for managing their access URLs and passwords for the Service.
  2. Users may not transfer, lend, or share access URLs or passwords to or with any third party.
  3. Any login made using a matching combination of access URL and password shall be deemed to be made by the registered User.
  4. If unauthorized use is detected, the Company may suspend access without prior notice.

Article 5 (Prohibited Conduct)

Users shall not engage in any of the following conduct in using the Service:

Article 6 (Suspension of the Service)

The Company may suspend or interrupt all or any part of the Service without prior notice to Users in any of the following circumstances:

Article 7 (Intellectual Property)

  1. All content delivered through the Service (including video, audio, music, images, and text) belongs to the Company or the rightful third-party rights holders.
  2. Users may not reproduce, republish, modify, or otherwise re-use any streamed content without the Company's prior written consent.

Article 8 (Disclaimer and Limitation of Liability)

  1. The Company makes no warranty of any kind, express or implied, including but not limited to warranties of safety, reliability, accuracy, completeness, fitness for a particular purpose, security, non-infringement, or freedom from errors or bugs with respect to the Service.
  2. The Company shall not be liable for any degradation of video or audio quality caused by the User's network environment or equipment.
  3. In the event of an interruption or delay of a stream, the Company's only obligation will be to provide a make-up stream or a recorded version, and the Company shall not be liable for any further damages.

Article 9 (Fees and Payment)

The fees for the Service and the method of payment shall be as separately specified by the Company. In the event of any revision to the fees, the Company shall provide advance notice to Users.

Article 10 (Personal Information)

The Company shall handle personal information acquired through the use of the Service in accordance with our Privacy Policy.

Article 11 (Changes to these Terms)

The Company may amend these Terms at any time without prior notice to Users, if deemed necessary. Continued use of the Service after any such amendment shall be deemed acceptance of the amended Terms.

Article 12 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan. The Tokyo District Court or the Tokyo Summary Court shall have exclusive jurisdiction as the court of first instance over any dispute arising out of or in connection with the Service.

Article 13 (Severability)

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Article 14 (No Waiver)

No failure or delay by the Company in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right, power, or privilege, and no single or partial exercise of any such right, power, or privilege shall preclude any other or further exercise of it or of any other right, power, or privilege.
